1Acceptance of Terms

By registering for, accessing, or using the PRODIFY platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. These Terms constitute a legally binding agreement between you and Lereko Digital (Pty) Ltd. If you are accepting these Terms on behalf of a company or legal entity, you represent that you have the authority to bind such entity.

2Description of Services

PRODIFY is an all-in-one business management software platform providing the following core services:

• Customer Relationship Management (CRM)
• Invoicing, Quotes & Financial Management
• Point-of-Sale (POS) System
• Customer-Facing Dashboards & Portals
• Business Analytics & Reporting
• Team & Staff Management
• Inventory Management
• Integrated WhatsApp & Communication Tools

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with reasonable notice where practicable.

3User Accounts & Registration

To use PRODIFY, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access to your account
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with third parties outside your authorised team

PRODIFY supports unlimited user accounts per subscription. There is no per-seat licensing fee. You may add team members, staff, and customers at no additional cost.

4Subscription & Billing

PRODIFY operates on a flat-rate monthly subscription model of R499 per month (inclusive of VAT where applicable), billed per business account regardless of the number of users.

• Subscriptions are billed monthly in advance on your billing date
• Payment is accepted via EFT, debit order, or credit card
• Invoices are generated automatically and sent to your registered email address
• Prices are subject to change with 30 days' written notice
• Annual payment options may be available at a discounted rate upon request
• Failed payments may result in temporary suspension of your account

5Acceptable Use Policy

You agree not to use PRODIFY for any unlawful or prohibited activities. You must not:

• Use the platform to engage in fraudulent, deceptive, or illegal activity
• Attempt to reverse-engineer, decompile, or extract source code from the platform
• Interfere with or disrupt the integrity or performance of our infrastructure
• Attempt to gain unauthorised access to any part of our systems
• Upload, distribute, or store any malicious code, viruses, or harmful content
• Violate any applicable South African or international laws, regulations, or ordinances
• Resell, sublicense, or white-label the platform without written authorisation from Lereko Digital
• Scrape, harvest, or extract data from the platform using automated means

Violation of this policy may result in immediate account suspension or termination without refund.

6Intellectual Property

All rights, title, and interest in the PRODIFY platform, including but not limited to software, design, trademarks, logos, and documentation, are owned exclusively by Lereko Digital (Pty) Ltd. These Terms do not grant you any ownership rights in the platform.

You retain full ownership of all data you upload to or create within PRODIFY ("Your Data"). By using our services, you grant Lereko Digital a limited, non-exclusive licence to host, store, and process Your Data solely for the purpose of providing the service to you.

7Data & Privacy

We are committed to protecting your data in accordance with the Protection of Personal Information Act, 2013 (POPIA). Our data practices include:

• All data is hosted on secure South African cloud infrastructure
• Data is encrypted in transit (TLS 1.2+) and at rest (AES-256)
• Daily automated backups with 30-day retention
• We do not sell or share your data with third parties for marketing purposes
• Upon account termination, your data is retained for 30 days before secure deletion
• You may request a full data export at any time

8Limitation of Liability

To the maximum extent permitted by applicable South African law, Lereko Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the amount paid by you to us in the 3 months preceding the claim.

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

9Termination

Either party may terminate the subscription agreement:

• You may cancel your subscription at any time via your account settings or by contacting our support team
• We may terminate your account with 30 days' written notice for any reason
• We may terminate your account immediately if you breach these Terms
• Upon termination, your access to the platform will cease at the end of the current billing period

Refund eligibility upon termination is governed by our Refund & Cancellation Policy.

10Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. In the event of any dispute:

• You agree to first attempt to resolve the dispute informally by contacting us at legal@lerekodigital.co.za
• If not resolved within 30 days, the dispute shall be referred to mediation through the Arbitration Foundation of Southern Africa (AFSA)
• If mediation fails, the dispute shall be resolved by arbitration in Johannesburg, Gauteng
• Judgement may be entered in any court having jurisdiction

11Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email to your registered address or by displaying a prominent notice within the platform at least 14 days before the changes take effect. Your continued use of PRODIFY after the effective date of revised Terms constitutes your acceptance of those changes.
